Need for Seminar
The course provides discussion on Contract Drafting, Drafting Techniques and Contract Language. It is designed for experienced contract drafters who wish to take their drafting to an advanced level.
This practical workshop will provide training and ‘hands-on’ experience in the drafting of commercial contracts. It is intended for people who intend to hone their drafting skills and take it to the next level.

Course Objectives
• Strengthen contract drafting skills s as a core competency.
• The workshop is designed to improve participant’s knowledge of contract drafting and learn the necessary skills for drafting clear, concise contracts.
• The workshop includes essential building blocks concept which is the very foundation of drafting contracts, legal issues while dealing with boilerplate clauses and full day discussion on contract drafting effective contracts and contract language.

Specific topics to covered in the workshop will include;-
• Building block Concept -is the very corner stone of contract drafting, Participants will learn to understand how to draft contract for any business deal.
• Drafting the Front, Lead in clause and use of Definitions- Participants will learn how to draft clear and concise contracts
• Drafting Memorandum of Understanding (MOU), Letter of Intent (LOI) and Non-Disclosure
• Agreement (NDA)- Participants will learn the challenge’s involved in drafting MOU, LOI and NDA, the risks involved and best practice’s to be following when drafting such agreement.
• Drafting Boilerplate clauses- Participant will learn best practice’s in dealing with Indemnity, Force Majeure , Assignment and Delegation, governing law, Severability, Waiver, Cumulative Remedies, non-cumulative remedies, notices, and other clauses.
• Drafting issues in International Joint Ventures- Participants will be exposed to relevant drafting issues when dealing with International Contracts.
• Drafting the Endgame Provisions- Participants will learn and understand the effects and ways to deal with Termination clause.
• Dealing with Ambiguity in Contracts and Rule of Interpretation of contracts- Participants will learn to deal with Ambiguity in contracts and the rule of law when interpreting contracts.
• Miscellaneous provisions – are important contract provisions which is a must know for those dealing with contracts -Third Party Liability, Gross negligence, Waiver of Subrogation, Novation of contract, fit for purpose, Warranty /Guarantee and Duty of Care.
• Contract Language- Workshop will discuss the following;-Materiality/Material Adverse Effect, reasonableness, consent not to be unreasonably withheld, Best/Reasonable Efforts, to the best of its knowledge, substantially in the form, to the extent permitted by law, in the form and substance satisfactory, would vs. could, may shall, including without limitation, Trumping provisions…and many more.
• Principles of Effective Drafting and Drafting Dispute Resolution Clause- finally the workshop will cover best practices in legal writing and drafting Dispute Resolution including Arbitration clause.

About the Lead Facilitator: Manoj Nair
A graduate of commerce and law from Mumbai University and George Washington University School of Business Manoj Nair is a Solicitor Supreme, Court England and Wales (NP), having over 20 years of experience in dealing with Corporate, Civil, Construction and Labour Laws. He has extensive knowledge and experience in all aspects of contract drafting, contract negotiations, contract/procurement management, project finance, risk management, outsourcing contracts, international commercial contracts, proposal writing, statement of work (SOW) and vendor management. Manoj is empanelled as freelance instructor with ESI International, Marcus Evans, KPMG Education Unit (Germany), Green International, Lee Hecht Harrison (Adecco Group), Indian Academy of Management (IAM), Exalt Communication and with NIIT as subject matter expert. Manoj is also an adjunct faculty teaching business, employment laws, international business and business ethics in leading Business schools in such as -The Institute of Technology and Management, Institute of Business Studies and Research, Mumbai School of Business, Times Business School, Ghelot’s Institute of Management and Guru Nanak Institute of Management and Studies .Manoj is currently the India Representative for British Legal Centre (a UK based Company helping lawyers to understand British Law).
